IMPORTANT: By using TradingPlace, you acknowledge that trading futures involves substantial risk of loss and is not suitable for all investors. You may lose more than your initial investment.
1. Service Description
TradingPlace ("the Service," "we," "us," or "our") is a trade execution and account management tool designed to help users manage multiple trading accounts from a single interface.
What We Are
- A software tool for managing trade execution across multiple accounts
- A risk management platform with automation features
- A dashboard for monitoring multiple prop firm accounts
What We Are NOT
- We are NOT a broker, prop firm, or financial institution
- We do NOT provide trading signals, investment advice, or financial recommendations
- We do NOT guarantee any trading results or profits
- We do NOT hold customer funds or act as a custodian
- We are NOT registered with the SEC, CFTC, NFA, or any regulatory body as an investment advisor, broker-dealer, or commodity trading advisor
2. Risk Disclosure
RISK WARNING: Futures trading carries a high level of risk and may not be suitable for all investors. The high degree of leverage can work against you as well as for you. Before trading futures, you should carefully consider your investment objectives, level of experience, and risk appetite.
No Guarantee of Performance
- Past performance does not guarantee future results
- You may lose all or more than your initial investment
- There is no guarantee that any trading strategy or system will be profitable
- Market conditions can change rapidly and without warning
- Slippage, gaps, and other market factors may result in fills at prices different than expected
Prop Firm Risk
- Prop firm accounts have strict rules that, if violated, may result in account termination
- TradingPlace helps manage compliance but does NOT guarantee you will not violate prop firm rules
- You are solely responsible for understanding and following your prop firm's rules
3. System Reliability Disclaimer
SERVICE PROVIDED "AS IS": TradingPlace is provided without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
No Guarantee of Uptime or Reliability
We do NOT guarantee uninterrupted or error-free operation. The Service may experience:
- Software bugs, glitches, or unexpected behavior
- Server downtime or maintenance windows
- Network connectivity issues or latency
- Data feed delays, errors, or outages
- Third-party API failures (including Tradovate, prop firms, data providers)
- Browser or device compatibility issues
We Are NOT Liable For
- Missed trades due to system downtime or errors
- Incorrect order execution or fills
- Delayed execution or latency issues
- Failure of automated features (stop-loss, target lock-in, etc.)
- Account losses resulting from software bugs
- Data feed inaccuracies or delays
- Third-party service failures
- Loss of access to accounts or data
- Any trading losses whatsoever
4. User Responsibility
By using TradingPlace, you acknowledge and agree that:
- You are solely responsible for all trading decisions and their outcomes
- You must verify all orders executed correctly before and after each trade
- You must maintain your own risk management practices independent of any automation provided by the Service
- You must comply with all prop firm rules independently and not rely solely on the Service for compliance
- You must monitor your accounts actively and not rely solely on automation
- You understand that automation can fail and you must have contingency plans
- You have sufficient knowledge and experience to understand the risks of futures trading
- You will not use the Service for any illegal or unauthorized purpose
5. Limitation of Liability
Maximum Liability
To the maximum extent permitted by law, TradingPlace's total liability for any claims arising from your use of the Service shall not exceed the total fees you have paid to us in the three (3) months immediately preceding the claim.
Exclusion of Damages
In no event shall TradingPlace be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, or trading opportunities
- Lost data or business interruption
- Any losses resulting from trading activities
- Prop firm account failures or terminations
- Damages arising from system failures, bugs, or errors
6. Billing Terms
Credit Card Hold Period
- Upon signup, a credit card is required to prevent system abuse
- Your card will be placed on hold for 3 days with no charge
- You may cancel within 3 days and will not be charged
- If you do not cancel within 3 days, your card will be automatically charged
Subscription
- Subscriptions are billed monthly in advance
- You may cancel your subscription at any time
- Upon cancellation, access continues until the end of the current billing period
No Refunds
NO REFUNDS: All payments are final. We do not offer refunds for any reason, including but not limited to: dissatisfaction with the service, unused subscription time, account issues, trading losses, or technical problems.
7. Account Termination
Termination by User
You may terminate your account at any time by canceling your subscription through your account settings.
Termination by TradingPlace
We reserve the right to suspend or terminate your account at any time, for any reason, without notice or explanation. This includes but is not limited to:
- Violation of these Terms of Service
- Suspected abuse, fraud, or manipulation
- Non-payment of fees
- Conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or third parties
- Any other reason at our sole discretion
Effect of Termination
- Upon termination, your access to the Service will be immediately revoked
- No refund will be provided for any unused subscription time
- You are responsible for closing any open positions before termination
- We are not liable for any losses resulting from account termination
8. Indemnification
You agree to indemnify, defend, and hold harmless TradingPlace, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your trading activities
- Your violation of these Terms
- Your violation of any prop firm rules or agreements
- Your violation of any applicable laws or regulations
- Any dispute between you and any third party (including prop firms, brokers, or other users)
9. Privacy Policy
Information We Collect
- Account information (email, name, organization)
- Payment information (processed securely through our payment provider)
- Trading activity logs for support and debugging purposes
- Usage data to improve the Service
How We Use Information
- To provide and maintain the Service
- To process payments
- To communicate with you about the Service
- To improve the Service
- To comply with legal obligations
Information Sharing
We do not sell your personal information. We may share information with:
- Service providers who assist in operating the Service
- Law enforcement when required by law
- Third parties with your explicit consent
Security
We implement industry-standard security measures to protect your information:
- SSL/TLS Encryption - All data transmitted between your browser and our servers is encrypted using SSL/TLS
- Secure API connections - All connections to Tradovate and other trading APIs use encrypted channels
However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
